ACCEPTANCE OF BRIZ.COM'S TERMS & CONDITIONS OF USE
BRIZ.COM, wholly owned by BRIZ, LLC, collectively hereinafter "BRIZ," provides its services subject to the Terms and Conditions of Use, hereinafter "T&C," set forth herein. By agreeing to use this site, user agrees that all T&C that exist herein, and / or may be added, and /or may be amended, are legally binding. All T&C may be changed, edited or amended by BRIZ from time to time at any time without prior notice to BRIZ's users. Amendments made to the T&C will be posted as amended on the site. Use of BRIZ services constitutes acknowledgement and acceptance of each and every BRIZ T&C.

BRIZ SERVICES
BRIZ provides an online, user-generated, social network, allowing communication, networking, searching, collaboration, and e-commerce by connecting business-to-business, business-to-consumer, consumer-to-business, and consumer-to-consumer. All present and future tools and services provided by BRIZ are subject to BRIZ's T&C. By using BRIZ, you, as user, understand and agree that BRIZ services are provided "AS-IS," and BRIZ does not assume any responsibility or offer any warranties with regards to the services.

NOTICE
BRIZ may modify its T&C from time to time. You agree to be bound to any changes to the T&C when you use BRIZ. Notice to users may be made by posting on the site, through the website, e-mail, regular mail, or displaying notices to links.

USER CONDUCT
User agrees and understands that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, is the sole responsibility of the person or entity from which such Content originated. You, and not BRIZ, are entirely responsible for any and all Content that you upload, make available to another privately or publicly, post, e-mail, or otherwise transmit in connection with BRIZ. BRIZ does not control the Content posted via the service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using BRIZ, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances does or will BRIZ be liable in any way for Content posted on the site by any of its users. BRIZ, in its sole discretion can remove Content for any reason at its sole discretion. User agrees and understands that no materials of any kind submitted through your account or otherwise posted or transmitted will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material. User also agrees and understands not to use the service to harvest or collect email addresses or other contact information of other users from the service by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications; use the service in any unlawful manner or in any other manner that could damage, disable, overburden or impair; use automated scripts to collect information from or otherwise interact with the service; upload, post, transmit, share, store or otherwise make available any harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable content; upload, post, transmit, share, store or otherwise make available any videos other than those of a personal nature; impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity; upload, post, transmit, share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation; upload, post, transmit, share, store or otherwise make publicly available any private information of any third party, including, addresses, phone numbers, email addresses, social security numbers and credit card numbers; solicit personal information from anyone under 18 or solicit passwords or personally identifying information for unlawful purposes; upload, post, transmit, share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; intimidate or harass another; upload, post, transmit, share, store or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, federal or international law(s); use or attempt to use another's account, service or system without authorization from BRIZ, or create a false identity on BRIZ; upload, post, transmit, share, store or otherwise make available content that, in the sole judgment of BRIZ, that is objectionable or which restricts or inhibits any other from using or enjoying BRIZ, or which may expose BRIZ, its users or third parties harm or liability of any type.

CHILD PROTECTION
NO PERSONS UNDER THE AGE OF THIRTEEN (13) YEARS OLD ARE PERMITTED TO USE BRIZ.

COMPLIANCE WITH ALL LOCAL, STATE, AND FEDERAL LAWS THAT MAY APPLY WHETHER DOMESTIC OR FOREIGN
User agrees to comply with all local, state and federal rules, regulations and laws, both domestic and foreign as such may appropriately apply, regarding, use, conduct and acceptable Content. The relationship between you and BRIZ shall be governed by the laws of the appropriate jurisdiction of the United States of America. You and BRIZ agree to submit to the jurisdiction of the appropriate Courts of the United States of America.

MATERIALS PROVIDED TO OR POSTED ON BRIZ
BRIZ does not claim ownership of any materials user(s) provide to BRIZ, post, upload, input or submit to any services or its associated services for review by the general public, or by the members of any public or private community. User is wholly responsible for any and all information posted on BRIZ.

USERNAME PASSWORD SECURITY
When signing up to become a member of BRIZ, you will choose a password. User is entirely responsible for maintaining the confidentiality of your password. User agrees not to use the account, username, or password of another member at any time or to disclose your password to any third party. User agrees to notify BRIZ if user suspects any unauthorized account usage or password access. User is solely responsible for all account usage. User agrees that BRIZ cannot and will not be liable for any loss or damage arising out of or resulting from user's failure to comply with username and password security.

DEALINGS WITH BUSINESSES
Any business dealings on or through BRIZ, including payment and delivery of related goods and/or services, and any other contracts, contractual terms, conditions, warranties or representations associated with such dealings, are solely between you and such business. BRIZ will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.

NO AUTOMATED WEB SITE ACCESS
User agrees not to send automated requests of any type to BRIZ or its users without express permission in advance from BRIZ.

NO COMMERCIAL EXPLOITATION
User agrees not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any part of BRIZ.

TERMINATION OF USE
BRIZ, in its sole discretion, may terminate all or part of your access, registration, password, account (or any part thereof) or use, and remove and discard any Content, for any reason, including, without limitation. BRIZ may also in its sole discretion and at any time discontinue its service, or any part thereof, with or without notice. You agree that any termination of your access to BRIZ be effected without prior notice, and agree that BRIZ may immediately deactivate or delete your account, all of your account's information and files, and bar further access to such information. Further, you agree that BRIZ shall not be liable to you or any third-party for any termination of your access to BRIZ or loss of information that may be a result thereof.

DISCLAIMER OF WARRANTIES
ALL SERVICES PROVIDED BY BRIZ ARE PROVIDED "AS IS" WITH NO WARRANTIES WHATSOEVER. ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, ARE EXPRESSLY DISCLAIMED. TO THE FULLEST EXTENT PERMITTED BY LAW, BRIZ DISCLAIMS ANY WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS AND PERFORMANCE OF THIS SERVICE. BRIZ DOES NOT WARRANT THAT THE FUNCTIONS PERFORMED BY THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE SITE OR THE SERVERS THAT SUPPORT IT WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF BRIZ IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM USE OF BRIZ. TO THE FULLEST EXTENT AS ALLOWABLE BY LAW, AS PERMITTED BY JURISDICTION, BRIZ SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN RELATION TO YOUR USE OF BRIZ.

INDEMNITY
You agree to indemnify and hold harmless BRIZ, BRIZ subsidiaries, affiliates, officers, agents, partners, and employees, from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content made available by you, submitted by you, posted by you, or transmitted by you over the service, as well as for any other violation of any of T&C stated herein.

CHILD PROTECTION
NO PERSONS UNDER THE AGE OF THIRTEEN (13) YEARS OLD ARE PERMITTED TO USE BRIZ.

Briz.com is wholly owned by Briz, LLC, a New York Limited Liability Company.

USE OF BRIZ IS CONTINGENT UPON USER ACCEPTANCE OF ALL OF BRIZ T&C'S STATED HEREIN, AND SUCH THAT MAY BE AMENDED
BRIZ T&C, as stated herein, including such terms and conditions that may be added or amended, constitute the entire agreement between you, user, and BRIZ, and govern your use of the service. Failure of BRIZ to exercise or enforce any right or provision in the T&C shall not constitute a waiver of such right or provision. If any provision of the T&C is found by a Court of competent jurisdiction to be invalid, the parties agree that such Court shall give effect to the parties' intentions as reflected in the provision, and all other provisions of the T&C will remain in full legal effect. If any of the herein terms and/or conditions are deemed to be unenforceable, all of the rest of the T&C contained herein remain binding and enforceable to the fullest extent permissible by law."
